1. Agreement to Terms

By accessing or using the Ping Guest service ("Service"), including our website, beacon devices, and related software, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Ping Guest ("we," "us," or "our"). We may modify these Terms at any time, and your continued use of the Service constitutes acceptance of the modified Terms.

2. Description of Service

Ping Guest provides a guest WiFi email collection service for short-term rental hosts and property managers. Our Service includes:

Beacon hardware devices for guest WiFi authentication
A web dashboard for managing guest data
Email collection and management tools
Integration capabilities with third-party services

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

Provide accurate and complete information
Maintain the security of your account credentials
Promptly notify us of any unauthorized access
Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

4. Subscription and Payment

4.1 Subscription Plans

Access to the Service requires a paid subscription. Subscription fees are charged monthly based on the number of active beacon devices. Current pricing is available on our website.

4.2 Billing

Subscription fees are billed in advance on a monthly basis
Payment is processed through Stripe
You authorize us to charge your payment method for all fees incurred
Prices may change with 30 days notice

4.3 Refunds

Hardware purchases may be refunded within 30 days of purchase if the device is returned in original condition. Subscription fees are non-refundable except as required by law.

5. Referral Program

5.1 Program Overview

Ping Guest offers a referral program where existing users can earn free subscription months by referring new users. Both the referrer and the referred user receive the specified number of free months when the referred user completes their first beacon purchase.

5.2 Eligibility

To participate in the referral program:

You must have an active Ping Guest account in good standing
Referred users must be genuinely new users not previously associated with Ping Guest
You may not refer accounts that you own, control, or are otherwise associated with
Referral credits are subject to any limits set by Ping Guest

5.3 Credit Terms

Referral credits are applied as extensions to your subscription period
Credits may not be exchanged for cash or transferred to other users
Credits may expire if not used within the specified period (if an expiration is configured)
Ping Guest reserves the right to modify or terminate the referral program at any time

5.4 Prohibited Conduct

The following activities are prohibited and may result in disqualification from the program:

Creating fake or fraudulent accounts to earn referral credits
Referring accounts that you own, control, or are associated with (including family members sharing payment methods or addresses)
Using automated systems or bots to generate referrals
Misrepresenting the referral program terms to potential referrals
Any other form of referral fraud or program abuse

Ping Guest reserves the right to investigate suspicious referral activity and may revoke credits, suspend accounts, or take other action if abuse is detected.

6. Hardware Terms

6.1 Beacon Devices

Ping Guest beacon devices remain your property upon purchase. You are responsible for:

Proper installation according to provided instructions
Maintaining a suitable operating environment
Ensuring adequate internet connectivity
Physical security of the device

6.2 Warranty

Beacon devices are covered by a one-year limited warranty against manufacturing defects. This warranty does not cover damage from misuse, modification, or improper installation.

7. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations
Infringe on intellectual property rights
Collect data without proper consent or legal basis
Send spam or unsolicited communications
Transmit malicious code or interfere with the Service
Attempt to gain unauthorized access to any systems
Resell or redistribute the Service without authorization

8. Data and Privacy

8.1 Your Responsibilities

As a user of Ping Guest, you act as the Data Controller for guest information collected through your beacon devices. You are responsible for:

Obtaining appropriate consent from guests
Providing guests with privacy notices
Complying with applicable data protection laws (including GDPR if applicable)
Responding to data subject requests from your guests
Ensuring your use of collected data complies with all laws

8.2 Our Role

We act as a Data Processor on your behalf. Our processing of guest data is governed by our Privacy Policy and any Data Processing Agreement between us.

9. Intellectual Property

The Service, including all software, content, designs, and trademarks, is owned by Ping Guest or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You retain ownership of any data you upload to the Service. By using the Service, you grant us a license to process your data as necessary to provide the Service.

10. Third-Party Services

The Service may integrate with or link to third-party services. We are not responsible for the availability, content, or practices of third-party services. Your use of third-party services is subject to their respective terms and privacy policies.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PING GUEST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Ping Guest, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Your collection and use of guest data

14. Termination

You may cancel your subscription at any time through your account settings. Upon cancellation:

Your subscription will remain active until the end of the billing period
You may export your data before account closure
Beacon devices will no longer connect to our Service

We may terminate or suspend your account immediately for violation of these Terms or for any other reason at our discretion.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Ping Guest regarding the Service.
